We missed a reply. What now?

Client side: Staying on top of replies

I've just seen the Contractor gave notice our reply was late. Have we already accepted it?

Where the contract stands

It depends on the dates. If there is still no reply two weeks after the notice, a quotation is treated as accepted (62.6), and a notified event is treated as a compensation event with quotations instructed (61.4). Under NEC4 a programme is treated as accepted after one further week (31.3). Reply while you still can.

Read the guide: Late reply as a compensation event and PM no reply to a quotation

This is our plain-English summary, not legal advice. Your own contract, including any Z clauses, decides.

In Contract Status, step by step

  1. While the reply is late

The banner tells you the date missed, what the other side can now do, and what follows if you still do not reply. The action is simple: reply now.

A quotation with a banner saying your reply is overdue and explaining what the contractor can now do

    Q-0007 from the Client side.

  2. Reply and choose one answer

The form sets out the price, time and reply date, then the choices: accept, instruct a revised quotation, notify that you will assess, or make the assessment now.

The Reply to Quotation form with four choices and clause references

Each choice says what it does and quotes the clause.

  3. When the time has run out

The record says it is deemed accepted and that a late reply will not change that. Pressing Record deemed acceptance marks the quotation Accepted and updates the Prices, the Completion Date and Key Dates. Until someone does, they stay as they are.

A quotation with a red banner saying it is deemed accepted because you did not reply in time

Q-0003 on the NEC3 contract, from the Client side.

  4. For a notified event, the price is still open

Deemed acceptance of a notification means the event stands and quotations are instructed. The record says no price is agreed yet, and gives the date the quotation is due.

Compensation event CE-0006 with a banner reading deemed accepted, with the quotation due date

    CE-0006 from the Client side.

What happens next on the other side

The Contractor sees the same facts in its own words, and can press the same button: recording it is open to either side. An administrator can choose to have it recorded automatically the next time someone acts on the record.
